6. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information shared during the course of the engagement. This obligation survives termination of services.

7. Limitation of Liability

To the maximum extent permitted by law, Terry Arthur Consulting shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to the Services. Our total liability shall not exceed the fees paid for the specific services giving rise to the claim.

8. Warranties and Disclaimers

We provide our Services “as is” without warranties of any kind. We do not guarantee specific results or outcomes. While we strive for excellence, consulting advice is based on information provided and industry best practices.

9. Termination

Either party may terminate services with written notice as specified in the service agreement. Upon termination:

  • Client remains responsible for payment for services rendered
  • We will provide deliverables completed to date
  • Confidentiality obligations remain in effect

10. Indemnification

You agree to indemnify and hold harmless Terry Arthur Consulting from any claims, damages, or expenses arising from your use of our Services or violation of these Terms.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Terry Arthur Consulting operates, without regard to conflict of law principles.

12. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. Continued use of our Services constitutes acceptance of modified Terms.
